Welcome to Adgenix Lab. These Terms of Service ("Terms") govern your access to and use of the Adgenix Lab platform, website, and services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Description of Service

Adgenix Lab is an AI-powered UGC (User Generated Content) ad creation platform. The Service allows users to research products, generate ad scripts, create AI avatar videos with voiceover, compose finished video ads, generate ad copy, create landing pages, and conduct competitor ad research through the Meta Ad Library.

2. Account Registration

To access the Service, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring your account information remains accurate and up to date

We reserve the right to suspend or terminate accounts that violate these Terms or that remain inactive for an extended period.

3. Acceptable Use

You agree not to use the Service to:

  • Create content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Generate misleading or deceptive advertising content
  • Infringe upon intellectual property rights of third parties
  • Distribute malware, spam, or other harmful materials
  • Attempt to gain unauthorized access to the Service or its systems
  • Use the Service for any purpose that violates applicable laws or regulations
  • Resell, sublicense, or commercially redistribute the Service without authorization
  • Create content that promotes discrimination, violence, or illegal activities
  • Use automated tools to scrape, crawl, or extract data from the Service

4. Intellectual Property

Your Content

You retain ownership of the content you create using the Service, including generated scripts, videos, images, ad copy, and landing pages ("User Content"). By using the Service, you grant us a limited, non-exclusive license to process, store, and display your User Content solely for the purpose of providing the Service to you.

Our Platform

The Service, including its design, features, code, documentation, and branding, is owned by Adgenix Lab and is protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding.

5. Third-Party Services

The Service integrates with third-party AI and technology providers to deliver its functionality. These include, but are not limited to:

  • Anthropic (Claude) — AI-powered product research, script generation, and content analysis
  • HeyGen — AI avatar video generation
  • ElevenLabs — AI voice synthesis and text-to-speech
  • Google (VEO) — AI video generation from images
  • Atlas Cloud AI — Additional AI video generation
  • Meta Ad Library — Competitor ad research and analysis
  • Firecrawl — Web content extraction for product research

Your use of the Service is also subject to the terms and policies of these third-party providers. We are not responsible for the availability, accuracy, or policies of third-party services.

6. Payment and Billing

Certain features of the Service may require payment. By subscribing to a paid plan, you agree to pay all applicable fees. Fees are non-refundable except as required by law or as explicitly stated in our refund policy. We reserve the right to modify pricing with reasonable advance notice.

7. Content Guidelines

Content generated through the Service must comply with all applicable advertising regulations, including those of Meta (Facebook/Instagram), TikTok, Google, and any other platforms where the content may be published. You are solely responsible for ensuring your ads comply with platform-specific advertising policies.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, error-free, or secure
  • AI-generated content will be accurate, appropriate, or suitable for any particular purpose
  • Generated ads will achieve any specific performance results
  • Third-party integrations will remain available or unchanged

You acknowledge that AI-generated content may contain errors, inaccuracies, or biases, and you are responsible for reviewing all generated content before use.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADGENIX LAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Adgenix Lab, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. You may also terminate your account at any time by contacting us. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, indemnification, and limitation of liability.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service with a new "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
